The following Terms of Service ("Terms") govern access to and use of the services provided by the company. By engaging with the company's services, users agree to be bound by these Terms. If there is a separate written agreement between a client and the company, those terms may supplement or supersede these Terms where explicitly stated.
Acceptance of Terms
Use of the services constitutes acceptance of these Terms. If a user does not agree to any provision, they should not use the services. The company reserves the right to refuse or limit service at its discretion.
Service Usage
Services are provided for lawful purposes only. Users agree not to use the services in a way that would violate laws, infringe the rights of others, or interfere with the intended operation of the service. The company may impose usage limits or technical restrictions to protect the service and other users.
Intellectual Property
Unless otherwise agreed in writing, intellectual property rights to methodologies, templates, source code, and tools developed and employed by the company remain the company's property. Deliverables specifically created for a client as part of a scoped engagement are licensed to the client for the agreed purposes upon full payment. Any pre-existing intellectual property retained by either party is to remain the property of that party.
Limitation of Liability
To the maximum extent permitted by law, the company and its affiliates will not be liable for indirect, incidental, consequential, special, punitive, or exemplary damages arising from use of or inability to use the services, even if advised of the possibility of such damages. The aggregate liability of the company for direct damages under these Terms shall be limited to amounts actually paid by the client for the specific services that gave rise to the claim during the twelve months preceding the claim.
Termination
Either party may terminate a service engagement in accordance with the terms of a signed agreement or upon written notice where no separate agreement exists. The company may suspend or terminate access immediately if a user materially breaches these Terms or engages in conduct that could harm the company or other users. Upon termination, any licenses granted will cease, and outstanding fees for work performed or committed expenses will remain payable.
Changes to Terms
The company may modify these Terms from time to time to reflect changes in operations, legal requirements, or service offerings. Revised Terms will be posted with an updated effective date. Continued use of the services after a modification signifies acceptance of the new Terms. Where required by law or contract, the company will provide notice of material changes to affected users.
